Wulf Kaal

Wulf A. Kaal is Professor of Law at the University of St. Thomas School of Law. He is a scholar and system designer whose work focuses on governance architectures for artificial intelligence and autonomous agents. His research connects law, economics, computer science, and institutional design. As an institutional economist, the central question of his research is how increasingly capable AI agents can coordinate, validate one another’s work, accumulate accountable reputation, and operate within institutions that adapt as the technology changes.

Kaal has established a distinctive position in AI and agentic system design through a research program that predates the current wave of agentic AI by over a decade. His work on dynamic regulation, decentralized governance, decentralized autonomous organizations, and domain-specific reputation developed institutional mechanisms that now apply directly to autonomous agent systems. His recent scholarship moves beyond conventional AI policy to the design and empirical study of operational architectures. This work includes a proposed agentic reputation substrate for accountable coordination among autonomous agents. It also includes a reputation-weighted model of governance as a product and possibility loops through which agents generate, validate, execute, and refine new economic action within a shared system.

Across a scholarly record spanning more than two decades, Kaal has developed an interdisciplinary body of work on AI governance, agent coordination, reputation systems, blockchain infrastructure, corporate governance, financial technology, and dynamic regulation. A defining feature of his work is the treatment of governance as an engineered institutional layer. Rules, incentives, validation, reputation, and accountability become components of system architecture, rather than external constraints on technology. The result is a framework in which institutional design and technical architecture become part of the same analysis.

Kaal has taught Coding for Lawyers, Decentralization, Disruptive Innovation, Crypto Finance, and Dynamic Regulation. Before entering academia, he worked at Cravath, Swaine & Moore in New York and Goldman Sachs International in London.

As a consultant and expert witness over the last 25 years, Kaal has worked for central banks, the Department of Justice, and large corporations. He assists law firms in complex litigation involving crypto, hedge funds, alternative investment and/or private equity issues. He has also been a consultant to major corporations and private funds regarding various aspects of financial markets and regulation, and regularly serves as an expert in highest level litigation. Expert witness and consulting engagements within Kaal’s area of expertise include cryptocurrencies, crypto tax, cryptocurrency markets, corporate law, federal securities regulation, fiduciary duties, voting requirements, conduct and duties of board of directors, insider trading, duties and obligations of broker-dealers and investment advisers, SEC oversight of investment advisers, compliance of private investment funds, among others. He is also a FINRA arbitrator.

He holds a Ph.D. in law and economics from Humboldt University of Berlin, a J.D. and LL.M. from the University of Illinois, and an M.B.A. in finance from Durham University.
