Introduction

Juan Ramos directs the Small Business and Transactional Law Clinic and teaches contracts-related courses.

In the clinic, Ramos supervises students in representing businesses, entrepreneurs, and creative and talented individuals in transactional legal matters. Students develop skills in client interviewing and counseling, negotiation, legal research and analysis, contract and legal document review and drafting, fact investigation and information gathering, client communication, legal ethics, professionalism, time management, and managing a matter. Through his teaching and mentorship, Ramos strives to ensure that the impact he has on students is multiplied by the impact students have when they graduate and practice law.

Ramos brings years of experience in transactional law and corporate private practice. Through his extensive and broad-based transactional experience at premier law firms, as in-house counsel, and in his private practice, he has advised management and a range of clients on issues and matters that include, among other things, strategic initiatives, legal and business compliance, corporate governance, due diligence, real estate-related transactions, structuring and negotiating business transactions, and addressing entity formation issues. His experience at premier law firms included practicing corporate, finance and real estate law on matters such as initial public offerings, mergers and acquisitions, debt offerings, and real estate and corporate finance. His in-house counsel experience included working in the retail food & beverage industry and real estate industry.

Prior to law school, Ramos was an investment banking analyst on Wall Street in New York, where he gained an understanding of the business and finance side of transactions and combines such understanding in performing legal analysis and in making decisions that require an understanding of both law and business.

Before attending Stanford Law School, Ramos attended Harvard, where he received his B.A. in Economics, and the University of Michigan, where he received a Master of Public Policy.
